Amlin plc Issue of B Shares and Consolidation of Existing Ordinary Shares On 14 November 2007, Amlin plc ("Amlin") announced its intention to returnapproximately £120 million of capital to shareholders (the "Return of Capital"),subject to shareholder approval, by way of a B share issue combined with aconsolidation of Amlin's existing ordinary shares on the basis of 8 new ordinaryshares for 9 existing ordinary shares. On 12 December 2007, Amlin announced that the shareholders had approved theReturn of Capital at the Extraordinary General Meeting of Amlin held that day. A total of 537,464,619 B shares were issued today, following which 537,464,619existing issued ordinary shares were consolidated into 477,746,328 new ordinaryshares.
