INVESTMENT AND NOTICE OF GENERAL MEETING

Rubicon Software Group plc ("Rubicon" or "the Group"; AIM: RUBI), a leading provider of smart customer relationship management IT solutions, today announces that it has secured an investment from Information Systems Associates Inc ("ISA"; OTCBB: IOSA) a leading, US based, provider of Data Centre Optimisation software, services and solutions. The investment has been agreed as follows:

·; An initial investment of £50,000 at 2p per share to be satisfied by the issue of 2,500,000 new ordinary shares of 1p each. This investment will be made following shareholder approval at a General Meeting.

·; A second tranche of £50,000 at 2p per share subject to mutual agreement to be satisfied by the issue of a further 2,500,000 new ordinary shares of 1p each. The second tranche is also subject to shareholder approval at a General Meeting and is to be drawn if so agreed between the parties within 90 days of that General Meeting.

In addition it has been agreed that, subject to the investing party delivering new business to Rubicon, it will be entitled to subscribe through warrants for 1 new ordinary share (each being a “Warrant Share”) for every £1 of gross revenue delivered to Rubicon over a three year period commencing 17 April 2009 (being the “Share Subscription Period”). Each Warrant Share subscribed for shall be at a price of 5p. The number of Warrant Shares will be restricted to a maximum of 5,000,000 during the Share Subscription Period.

Alistair Hancock, Chief Executive, Rubicon Software Group plc, commented: 'This is great news for Rubicon. As outlined in our annual report and accounts for the year to 30 June 2008 we have been looking to improve our cash position and balance sheet strength. This investment will be used to help support working capital and strengthen our platform for growth into new markets. Although the relationship is still at an early stage, we are already working closely with ISA to provide them with a high quality software solution and anticipate this relationship becoming an important channel for us in the future.'

This investment is subject to shareholder approval. The Company hereby gives notice of a General Meeting to be held at 11am on 15th May 2009 at Rubicon House, Guildford Road, West End, Surrey, GU24 9PW.
