Investec Ltd: Share Acquisition by Standard Bank

As part of the dual listed company structure, Investec plc and Investec Limited notify both the London Stock Exchange and the JSE Limited of matters which are required to be disclosed under the Disclosure Guidance and Transparency Rules, and the Listing Rules of the United Kingdom Listing Authority (the "UKLA") and/or the JSE Listings Requirements.

Accordingly, we advise of the following:

INVESTEC LIMITED: TRP121: NOTIFICATION OF AN ACQUISITION OF SECURITIES BY THE STANDARD BANK GROUP LTD

In accordance with section 122(3)(b) of the South African Companies Act, No. 71 of 2008, as amended (the "SA Companies Act") and paragraph 3.83(b) of the JSE Limited Listings Requirements, shareholders are hereby advised that Investec Limited (the "Company") has received formal notification that the Standard Bank Group Ltd has, in aggregate, acquired an interest in the ordinary shares of the Company, such that the total interest in the ordinary shares of the Company held by the Standard Bank Group Ltd now amounts to 5.95% of the total issued ordinary shares of the Company as at 27 January 2026. This is the first late submission of a notification which was due to an administrative oversight and will be remedied by the Company.

The Company will file the required notice with the South African Takeover Regulation Panel, per section 122(3)(a) of the SA Companies Act.
