Basis of Preparation On 1 January 2005, the Group adopted European Union (EU) endorsed InternationalFinancial Reporting Standards (IFRSs) and the next annual financial statementsof the Group will be prepared in accordance with IFRSs adopted for use in theEU. The results for 2005 have been presented in accordance with IFRSs that havebeen endorsed and those that are expected to be endorsed by the end of the year.The comparative amounts have similarly been restated except that the Group hastaken advantage of the transition rules of IFRS1, First-Time Adoption ofInternational Financial Reporting Standards, to adopt IAS 32 and IAS 39 witheffect from 1 January 2005. The Group has adopted the Amendment to IAS 39 Financial Instruments: Recognitionand Measurement: The Fair Value Option' and Amendment to IAS19 EmployeeBenefits: Actuarial Gains and Losses, Group Plans and Disclosures with effectfrom 1 January 2005, ahead of their effective dates, on the assumption that theywill be endorsed by the EU. These interim financial statements comply with all current IFRSs as published bythe IASB and have been prepared in accordance with IAS 34 Interim FinancialReporting on this basis. Additional information is set out in note 6 on page 47. 2. Dividends on Ordinary Equity Shares The 2005 interim dividend of 18.94 cents per share will be paid in eithersterling, Hong Kong dollars or US dollars on 14 October 2005 to shareholders onthe UK register of members at the close of business on 19 August 2005 and toshareholders on the Hong Kong branch register of members at the opening ofbusiness in Hong Kong (9:00am Hong Kong time) on 19 August 2005. It is intended that shareholders will be able to elect to receive sharescredited as fully paid instead of all or part of the interim cash dividend. With the adoption of IAS 39, the Group no longernormalises gains and losses on disposal of investment securities as these arenow held in an available for sale portfolio at fair value. Had this policy been adopted in the first half of 2004 normalised earnings pershare would have been 59.5 cents and EPS growth would have been 26 per cent. STANDARD CHARTERED PLC - NOTES 5. Transition to EU Endorsed IFRS EU law (IAS Regulation EC 1606/2002) requires that the next annual consolidatedfinancial statements of the company, for the year ending 31 December 2005, beprepared in accordance with International Financial Reporting Standards (IFRSs)adopted for use in the EU ("adopted IFRSs"). This interim financial information has been prepared on the basis of therecognition and measurement requirements of IFRSs in issue that either areendorsed by the EU and effective (or available for early adoption) at 31December 2005 or are expected to be endorsed and effective (or available forearly adoption) at 31 December 2005, the Group's first annual reporting date atwhich it is required to use adopted IFRSs. Based on these adopted and unadoptedIFRSs, the directors have made assumptions about the accounting policiesexpected to be applied, which are as set out below, when the first annual IFRSfinancial statements are prepared for the year ending 31 December 2005. In particular, the directors have assumed that the following IFRSs issued by theInternational Accounting Standards Board will be adopted by the EU in sufficienttime that they will be available for use in the annual IFRS financial statementsfor the year ending 31 December 2005: - Amendment to IAS 19 Employee Benefits - Actuarial Gains and Losses, Group Plans and Disclosures - Amendments to IAS 39 - Financial Instruments: Recognition and Measurement The Fair Value Option The adopted IFRSs that will be effective (or available for early adoption) inthe annual financial statements for the year ending 31 December 2005 are stillsubject to change and to additional interpretations and therefore cannot bedetermined with certainty. Accordingly, the accounting policies for that annual period will be determinedfinally only when the annual financial statements are prepared for the yearending 31 December 2005. Application of IFRS 1: First-time adoption of International Financial Reportingstandards The Group's transition date is 1 January 2004. The Group prepared its openingIFRS balance sheet at that date. The reporting date of these interimconsolidated financial statements is 30 June 2005. The Group's IFRS adoptiondate is 1 January 2005. In preparing these interim consolidated financial statements in accordance withIFRS 1, the Group has applied the mandatory exceptions and certain of theoptional exemptions from full retrospective application of IFRS. Exemptions from full retrospective application elected by the Group The Group has elected to apply the following optional exemptions from fullretrospective application. (a) Business combinations exemption The Group has applied the business combinations exemption in IFRS 1. It has notrestated business combinations that took place prior to the 1 January 2004transition date. (b) Fair value as deemed cost exemption The Group has elected to deem as cost certain items of property, plant andequipment held at valuation as at 1 January 2004. (d) Cumulative translation differences exemption The Group has elected to set the previously accumulated cumulative translationto zero at 1 January 2004. (e) Exemption from restatement of comparatives for IAS 32 and IAS 39 The Group elected to apply this exemption. It has applied previous UK GAAP rulesto derivatives, financial assets and financial liabilities and to hedgingrelationships for the 2004 comparative information. The adjustments required fordifferences between UK GAAP and IAS 32 and IAS 39 have been determined andrecognised at 1 January 2005. (f) Share-based payment transaction exemption As the Group has not previously published information regarding the fair valueof employee rewards, it has been required to apply the share-based paymentexemption. It applied IFRS 2 from 1 January 2004 to those equity settled shareawards that were issued after 7 November 2002 but that have not vested by 1January 2005. Exceptions from full retrospective application followed by the Group The Group has applied the following mandatory exceptions from retrospectiveapplication. (a) Derecognition of financial assets and liabilities exception Financial assets and liabilities derecognised before 1 January 2004 are not re-recognised under IFRS. The application of the exemption from restatingcomparatives for IAS 32 and IAS 39 means that the Group recognised from 1January 2005 any financial assets and financial liabilities derecognised since 1January 2004 that do not meet the IAS 39 derecognition criteria. Management didnot chose to apply the IAS 39 derecognition criteria to an earlier date. (b) Estimates exception Estimates under IFRS at 1 January 2004 should be consistent with estimates madefor the same date under previous UK GAAP, unless there is evidence that thoseestimates were in error. (c) Assets held for sale and discontinued operations exception Management has applied IFRS 5 prospectively from 1 January 2005. Any assets heldfor sale or discontinued operations are recognised in accordance with IFRS 5only from 1 January 2005.
