Redbus Interhouse PLC25 January 2006 25 January 2006 Redbus Interhouse PLC ("Redbus" or "the Company") Interest in Shares The Company was informed today by TeleCity Group plc, 3i Group plc, Inhoco 3236plc and Inhoco 3213 Limited, in accordance with Part VI of the Companies Act1985 (as amended by the Companies Act 1989 and the Disclosure of Interests inShares (Amendment) Regulations 1993) (the "Act"), that as at 1.00 pm on 20January 2006:- a) Inhoco 3236 plc was directly interested (for the purposes of the Act) in 27,102,000 Ordinary Shares of 1p each comprised in the relevant share capital, as defined in section 198(2) of the Act ("Relevant Share Capital"), of Redbus and representing 10.49% the Relevant Share Capital of Redbus; b) Inhoco 3213 Limited (as the parent company owning the entire issued share capital of Inhoco 3236 plc), was interested (for the purposes of sections 203(2) and 203(3) respectively of the Act) in the 27,102,000 Ordinary Shares of 1p each in the Relevant Share Capital of Redbus referred to at paragraph (a) above; c) each of TeleCity Group plc (as the parent company owning the entire issued share capital of Inhoco 3213 Limited and therefore the ultimate parent company of Inhoco 3236 plc) and 3i Group plc (having an interest in 50% of the issued share capital of TeleCity Group plc) was interested in an aggregate of 248,378,736 Ordinary Shares of 1p each in Redbus, representing approximately 96.17% of the Relevant Share Capital of Redbus. This aggregate interest is comprised of: i an interest in a total of 221,276,736 Ordinary Shares of 1p each in Redbus, representing approximately 85.68% of the Relevant Share Capital of Redbus acquired by TeleCity Group plc pursuant to the Offer made on behalf of TeleCity Group plc for Redbus which was announced on 2 November 2005 and which was declared wholly unconditional on 10 January 2006 (the "Offer"); ii an interest (for the purposes of sections 203(2) and 203(3) respectively of the Act) in the 27,102,000 Ordinary Shares of 1p each in Redbus referred to at a) above. So far as is known to them at the date of the notification: i the registered holder of the Shares referred to at paragraphs a), b) and c) ii above is Inhoco 3236 plc, and ii The registered holder of the shares referred to at paragraph c) i above is, or will upon the registration of the transfers effected pursuant to the relevant acceptances of the Offer be, TeleCity Group plc.
