Premier Foods plc26 July 2006 Disclosure of Interest in Share Capital On 25th July 2006 the Company received notification by Axa Investment ManagersUK Limited of 7 Newgate Street, London, EC1A 7NX that, as at 24th July 2006, AXAS.A., 25 Avenue Matignon, 75008 Paris and its Group Companies were interested in20,264,314 ord GBP 0.01 shares. These shares are represented by a beneficialinterest of 12,377,663 shares (representing 4.99% of the issued share capital)and a non-beneficial interest of 7,886,651 representing 3.18% of the issuedshare capital). This notification of change is due to a decrease in thebeneficial interest holding from 5.17% to 4.99%.
