Information on covered mortgage bonds

MATERIAL FACT

With respect to the "ISSUANCE OF BANCO ESPAÑOL DE CRÉDITO, S.A. PUBLIC COVERED BONDS APRIL 2011" (ISIN Code ES0413440225), for an amount of one hundred million euros, Banco Santander, S.A. hereby announces its intention of proceeding with the total redemption and cancellation of the one thousand public covered bonds with a total nominal value of one hundred million euros on 31st October 2013. Therefore, on such date the public covered bond issuance will be totally redeemed and cancelled. The public covered bonds are held by Banco Santander, S.A.
