Subject:The BOD resolved to recommend to the AGM to authorize the BOD to increase capitals from cash by means of common shares issuance to participate GDRs offerings.

Contents:

1.Date of the board of directors resolution:2013/03/25

2.Source of capital increase funds:

Issuance common shares for cash to sponsor GDR offering

3.Number of shares issued:The number of shares to be issued shall not exceed 1,200 million shares.

4.Number of shares subscribed by or allotted to employees:

10% of the newly issued shares will be reserved for the subscription by the Company's employees.

5.Number of shares publicly sold:

Besides the 10% of those reserved for the Company employees' subscriptions by the Article 267 of the Company Act, the remaining 90% of the newly issued common shares would be proposed to Shareholders'meeting, by Article 28-1 of the Securities and Exchange Law, for public offering to become the original shares for the GDRs offering.

6.Method of handling fractional shares and shares unsubscribed by the deadline:

The unsubscribed portion of the reserved shares for employees is authorized Chairman for delegated parties to subscribe or to be participated as the original shares on the GDRs

7.Rights and obligations of the newly issued shares:Same as those ofthe existing common shares.

8.Utilization of the funds from the capital increase:In order to raise funds.

9.Any other matters that need to be specified:

The BOD will present this proposal to the shareholders in Year 2013 Annual Shareholder Meeting for resolution.
