The subsidiary which is controlled directly or indirectly by Hon Hai ("Subsidiary") will negotiate with Fiat Chrysler Automobiles NV to set up a joint venture which is owned 50%/50% by each party in order to develop and manufacture electric vehicles and engage in IOV (internet of vehicles) business. Hon Hai's directly shareholding in the Subsidiary will not exceed 40%.
