Micro Focus International plc17 March 2006 Micro Focus International plc Micro Focus International plc (the "Company") received notification on 17 March2006, pursuant to the requirements of section 198 of the Companies Act 1985,that as of close of business on 14 March 2006, Morgan Stanley Securities Limited("MSSL") was interested in 6,635,739 ordinary shares of 10 pence each in thecapital of the Company, representing (at the date of this announcement)approximately 3.33% of the Company's issued ordinary share capital. The Company has also received notification on 17 March 2006 that MSSL havetransferred from time to time 4,634,039 ordinary shares of 10 pence each in thecapital of the Company to a third party on terms which give MSSL the right torequire the return of an equivalent number of shares. Accordingly MSSL interestin 4,634,039 shares is pursuant to Section 208(5) of the Companies Act 1985. MSSL is a member of the Morgan Stanley group of companies. Those groupcompanies which are direct or indirect holding companies of MSSL are, under theterms of section 203 of the Companies Act 1985, each interested by attributionin any shares which MSSL is interested.
