Pinnacle Telecom Group plc (the "Company")
Director's Shareholding and Holdings in Company
As a result of the recent allotments of new ordinary shares by the Company in connection with the acquisition of Accent Telecom UK Limited, the enlarged issued share capital is 1,702,907,630 ordinary shares, and the Company has been advised on 12 June 2009 that the following relevant changes occurred in holdings in its issued share capital:
(a) Paul Goodland acquired by allotment an interest in 168,273,709 ordinary shares in the Company, representing
approximately 9.88% of the issued share capital;
(b) Darron Giddens acquired by allotment an interest in 168,273,709 ordinary shares in the Company, representing approximately 9.88% of the issued share capital; and
(c) Mrs Shelly Dronfield acquired by allotment an interest in 84,136,855 ordinary shares in the Company, representing approximately 4.94% of the issued share capital.
In addition, without any change in the shareholdings concerned, the following relevant changes occurred in percentage interests in the issued share capital of the Company:
(d) Alan J Bonner (Chief Executive Officer) reduced from 10.28% to 7.21%;
(e) Surit Patel reduced from 6.31% to 4.43%;
(f) Mrs Namrata Patel reduced from 6.31% to 4.43%;
(g) Jofi Alexander reduced from 6.31% to 4.43%; and
(h) Mrs Rachel Alexander reduced from 6.31% to 4.43%.
Notes:
(1) Of the 75,356,571 ordinary shares in which Mr Patel and Mrs Patel are interested, 37,678,857 are registered in the name of Mr Patel and 37,677,714 are registered in the name of Mrs Patel.
(2) Of the 75,356,571 ordinary shares in which Mr Alexander and Mrs Alexander are interested, 37,678,857 are registered in the name of Mr Alexander and 37,677,714 are registered in the name of Mrs Alexander.
(3) Of the 168,273,709 ordinary shares in which Mr Giddens is interested, 49,591,709 are registered in the name of Mr Giddens's pension fund, a self invested personal pension.
