Research Now plc10 October 2005 ResearchNow plc(the "Company") The Company has received notification from Schroder Investment ManagementLimited that, in accordance with S198 of the Companies Act, Schroder InvestmentManagement Limited, have an interest in 2,230,000 shares which are held inportfolios managed by them on a discretionary basis for clients under investmentmanagement agreements. Included in this figure are: (i) 1,456,749 shares held in (a) unit trust(s) operated andmanaged by an affiliated company Schroder Unit Trusts Limited (SUTL), andregistered or to be registered in the name of Chase Nominees Limited, (ii) 773,251 shares registered or to be registered in the nameof our wholly-owned subsidiary nominee company, Schroder Nominees Limited(Schroder Nominees), and Schroder Investment Management Limited and their subsidiary and affiliatedcompanies are therefore interested in some 17.321% of the total number of sharesin issue, namely 12,874,885 shares. The notification was made to ResearchNow: (a) in respect of Schroder Investment Management Limited'sinterest as investment managers (b) on behalf of SUTL in relation to the interests they aretreated as having respectively under the Companies Act 1985 (the Act), and (c) on behalf of Schroders plc, the holding company, which istreated as having an interest in all of the above shares under the Act by virtueof its ownership of SUTL and itself.
