Headlam Group PLC25 January 2007 Headlam Group plc - DISCLOSURE OF INTEREST IN SHARES On 25 January 2007 Headlam Group plc received the following in respect ofnotifiable interests in the ordinary voting shares of 5p of the company. We are writing on behalf of AXA S.A. of 25 Avenue Matignon, 75008 Paris and itsGroup Companies who are deemed to have an interest in these shares. AXA S.A. knows that they were interested in 7,003,815 Ord 5p shares in the87,069,521 share capital immediately after the time when the obligation ofdisclosure arose pursuant to section 198 of the Act. These shares arerepresented by a beneficial interest of 2,739,772 shares (3.15%), and anon-beneficial interest of 4,264,043 shares (4.90%). The identity of each registered holder of the shares to which this noticerelates, so far as is known to AXA Investment Managers UK Ltd as at 19/01/07 isas per the attached Appendix. This notification of change is due to an increase in the beneficial interestholding from 0.10% to 3.15% Please note that this notification includes a disclosure on behalf of thefollowing Investment Trust Companies which has/ have a notifiable interest asoutlined in the attached appendix.
