Private & Commercial Finance Group plc ("PCFG" or "the Company") has been informed that on 28 September 2012, Bermuda Commercial Bank Limited, a significant shareholder in the Company, transferred its entire holding of ordinary shares in the Company to its parent company, Bermuda National Limited. Bermuda Commercial Bank Limited is a wholly owned subsidiary of Bermuda National Limited.

Following this transaction, the total number of shares in the Company held by Bermuda National Limited is 10,503,800 representing 19.92% of the Company's issued share capital.
