Premier Foods plc20 June 2005 Disclosure of Interest in Share Capital On 20 June 2005 the Company received notification by Axa Investment Managers UKLimited of 7 Newgate Street, London, EC1A 7NX that, as at 16 June 2005, AXAS.A., 25 Avenue Matignon, 75008 Paris and its Group Companies were interested in24,676,068 ord GBP 0.01 shares. These shares are represented by a beneficialinterest of 17,689,749 shares (representing 7.22% of the issued share capital)and a non-beneficial interest of 6,986,319 representing 2.85% of the issuedshare capital). This notification of change is due to a decrease in the totalinterest holding from 11.70% to 10.08%.
