Bharti Airtel Limited holds 100% voting rights in Network i2i Limited, which in turn holds 100% voting rights in Airtel Africa Mauritius Limited ('AAML'), a major shareholder of Airtel Africa plc.This disclosure under DTR 5 is being given pursuant to acquisition of additional 163,582,580 (i.e. 4.4521%) ordinary shares of $0.50 each of Airtel Africa plc ('AAplc') on February 21, 2025, consequent to which the shareholding of AAML in AAplc has been increased from 57.2929% to 61.74750%.We wish to submit that the minor difference in the pre-acquisition stake (i.e. 57.2929%) and stake reported in our previous TR-1 notification dt. December 16, 2024 (i.e. 57.0596%) is on account of consequential increase in stake due of purchase of its own shares by AAplc under share buy-back programme com-menced on December 23, 2024.The shareholding percentages in this notice are calculated on the basis of 3,674,291,716 ordinary shares of $0.50 each of AAplc. In this notification, figures are rounded to the nearest 4 decimal places. Any discrep-ancies in aggregated figures are due to rounding-off.
