RM PLC11 January 2005 11 January 2005 RM plc RM plc yesterday, received a communication dated 10 January 2005 from SchroderInvestment Management Limited, which stated that they have an interest in22,669,812 shares of the Company, which are held in portfolios managed by themon a discretionary basis for clients under investment management agreements. Included in this figure are: (i) 10,016,125 shares held in (a) unit trust(s) operated andmanaged by an affiliated company, Schroder Unit Trusts Limited (SUTL) andregistered or to be registered in the name of Chase Nominees Limited. (ii)9,854,501 shares neither registered nor to be registered inthe name of Schroder Nominees. The registration details are shown below. Schroder Investment Management Limited, their subsidiary and affiliated companyare therefore interested in an overall aggregate of 22,669,812 shares,representing some 25.273% of the total number of shares in issue, namely89,700,795 shares. This notification was made to us: (a) in respect of Schroders interest as investment managers, (b) on behalf of SUTL and SIMNA Limited in relation to the interest it istreated as having under the Companies Act 1985 (the Act), and (c) on behalf of Schroders plc., their holding company, which is treated ashaving an interest in all of the above shares under the Act by virtue of itsownership of SUTL, SIMNA Limited and themselves.
