Holdings in the Company

The Company announces that it was notified on 20 April 2015 that WLR IV VM LLC and WLR IV VM II LLC (together "WL Ross") had disposed of 45,000,000 shares of £0.0001 each in the share capital of the Company (ordinary shares) (representing approximately 10.2% of the total voting rights in the Company) pursuant to a placing of such shares, announced on 14 April 2015 and settled on 17 April 2015.

Following the disposal of the 45,000,000 ordinary shares, WL Ross now holds in aggregate 102,996,220 ordinary shares in the Company (representing approximately 23.3% of the total voting rights in the Company).

The Company refers to its notice (Notice) of the Company's Annual General Meeting (AGM) posted to shareholders on 25 March 2015, and announces that as a result of the disposal of ordinary shares in the Company by WL Ross, WL Ross is no longer considered a "controlling shareholder" of the Company for the purposes of Listing Rule 6.1.2A and, as such, will participate in the separate vote relating to the re-election by the shareholders of the independent directors (resolutions 3-7) as an 'independent shareholder'. No changes are required to the form of Notice or the Resolutions proposed in the Notice.

The AGM will be held on 1 May 2015 at 14:00 at the offices of FTI Consulting, 200 Aldersgate, Aldersgate Street, London, EC1A 4HD.
