In accordance with the Disclosure and Transparency Rules (DTR) 5, we have today received a notification (dated 18 September 2008) from TIAA-CREF Investment Management, LLC (on behalf of College Retirement Equities Fund) and Teachers Advisors, Inc (on behalf of TIAA-CREF Institutional Mutual Funds) stating that, as at 16 September 2008, they held a notifiable interest in shares of AMEC plc of 10,195,895 shares (3.08%). The reason for the notification is stated as: "An acquisition…….of voting rights". The names of the shareholders are stated as TIAA-CREF Investment Management, LLC and Teachers Advisors, Inc. The notification states that the situation previous to the triggering transaction was that they held 9,794,559 shares. Further information provided relating to the chain of controlled undertakings through which the voting rights are effectively held is stated as follows:
"The College Retirement Equities Fund ("CREF") hereby informs you that on September 16, 2008, CREF purchased 334,544 shares of AMEC plc, bringing its total holdings in your company to 8,725,708 shares. CREF owns these shares through three of its investment accounts, the Global Equities Account, Stock Account and the Social Choice Account. It is our understanding the total voting shares outstanding of AMEC plc are 330,992,130 bringing CREF's ownership in your company to a 2.64% level.
For your information, CREF is a U.S. based investment company, which is registered with the Securities and Exchange Commission ("SEC"). CREF has multiple investment accounts, each with separate investment objectives and policies. All assets in the accounts are beneficially owned by CREF, and all the accounts are managed by TIAA-CREF Investment Management, LLC, an SEC registered investment adviser.
Additionally, an affiliate of CREF recently purchased 66,792 shares, bringing total holdings in your company by affiliates of CREF to 1,470,187. These holdings are owned by the TIAA-CREF Institutional Mutual Fund ("Institutional Funds") and the TIAA-CREF Life Fund ("Life Funds"), each of which are SEC registered investment companies as well as the TIAA-CREF Asset Management Commingled Fund Trust ("TCAM Funds), and TIAA-CREF Active Extension Fund ("Active Extension Funds"). The Institutional Funds, TCAM Funds, Active Extension Funds and Life Funds are managed by Teachers Advisors, Inc., an SEC registered investment adviser, which is affiliated with TIAA-CREF Investment Management, LLC. These affiliated funds, aggregated with those of CREF, own a total of 10,195,895, or 3.08% of the outstanding voting shares of your company. Because Teachers Advisors, Inc. and TIAA-CREF Investment Management, LLC follow the same policies when voting these funds, we are aggregating the holdings for this letter."
