The College Retirement Equities Fund ("CREF"), managed by TIAA-CREF Investment Management LLC ("TCIM"), hereby informs you as of July 14, 2015 it sold 1,307 shares bringing the total owned to 11,746,809 shares of Britvic Plc. CREF owned these shares through two of its investment accounts, the Global Equities Account and Stock Account. It is our understanding the total voting shares outstanding of Britvic Plc is 248,430,849 bringing CREF's ownership in your company to a 4.728% level.

Additionally, affiliates of CREF own 1,914,986 shares of Britvic Plc. These shares are owned by the TIAA-CREF Funds and the TIAA-CREF Life Funds, each of which is a U.S.-based SEC registered investment company that is managed by Teachers Advisors, Inc. ("TAI"), an SEC registered investment adviser. TAI is affiliated with TCIM and both are indirect, wholly-owned subsidiaries of Teachers Insurance and Annuity Association of America ("TIAA"), a New York insurance company. In addition, Nuveen Investments, Inc. ("NII") sold 290 shares on July 14, 2015 bringing the total to 7,435 ordinary shares and 618,125 ADRs correlating to 1,236,250 ordinary shares in Britvic Plc (We note that one ADR equals two ordinary shares). The combined TIAA-Nuveen enterprise now has aggregated holdings of 14,905,480 shares or 5.9999% of the issued and outstanding voting shares in Britvic Plc.

Each of TCIM, TAI and NII are aggregating their holdings in Britvic Plc as required by current FCA Disclosure and Transparency Rules. However, each of TCIM, TAI and NII separately and independently vote all proxies for shares held in Britvic Plc.
