The shares to which this form relates are registered in the name of Deutsche Bank AG, as nominee for T-Mobile Holdings Limited. The Deutsche Telekom group of companies undertook an intragroup reorganisation on 23 March 2018 which involved three key steps:

(i) the transfer of 100% of the shares in T-Mobile Holdings Limited to CTA Holding GmbH. At that time, CTA Holding GmbH was owned 100% by Deutsche Telekom AG;

(ii) the sale by Deutsche Telekom AG of 7% of the shares in CTA Holding GmbH to Telekom Deutschland GmbH ("TDG") and 17% of the shares in CTA Holding GmbH to T-Systems International GmbH ("TSI") (TDG, TSI and Deutsche Telekom AG, together, the "CTA Sellers"); and

(iii) the transfer of 100% of the shares in CTA Holding GmbH by the CTA Sellers to Deutsche Telekom Trust e.V.

Pursuant to an Endowment and Trust Agreement dated 23 March 2018 between, the CTA Sellers and Deutsche Telekom Trust e.V., the CTA Sellers retain the right to control the voting rights attached to the BT shares which are subject to this notification.
