Notification of Major Interest in Shares

St. Modwen Properties PLC (the "Company") announces that it has been notified that, on 28th September 2017, an aggregate of 3,500,000 existing ordinary shares of 10 pence each in the Company ("Ordinary Shares") have been sold by certain members of the Clarke family at a price of 370.5 pence per share.

Following these disposals, the Clarke family will hold 15,175,196 Ordinary Shares representing 6.82 per cent. of the Company's issued share capital.

As part of the disposal, Simon Clarke, a Non-Executive Director of the Company, has sold 500,000 Ordinary Shares at the same price. Following this sale he holds 2,704,157 Ordinary Shares, representing 1.22 per cent. of the Company's issued share capital.

The selling shareholders have agreed not to sell any further Ordinary Shares for a period of 90 days without the prior written consent of Numis Securities Limited.
