26 May 2009 CATHAY INTERNATIONAL HOLDINGS LIMITED (the 'Company') Holdings in Company

The Company announces that it has received notification that Mr. Marc Simon Downes and persons connected to him now hold 9,695,349 Common Shares of US$0.05 each in the Company ('Common Shares') representing 3.67 per cent. of the total number of issued Common Shares.

The issued share capital of the Company comprises:

264,067,030 Common Shares, which are admitted to trading on a regulated market; and

11,793,074 A Shares of par value US$0.05 each ('A Shares'), which are not admitted to trading on a regulated market and in respect of which no application has been made for admission to trading on a regulated market. 

The A Shares and the Common Shares rank equally in all respects save that each A Share carries 20 votes and each Common Share carries one vote. The A Shares are convertible into Common Shares on a one for one basis and are automatically so converted upon transfer. Approval was received in 2001 for a block listing of the Common Shares resulting from the conversion of A Shares.

Whilst the holding of Mr. Marc Simon Downes and persons connected to him represents 3.67 per cent. of the issued Common Shares of the Company such holding represents only 1.94 per cent. of the total voting rights attached to all issued shares of the Company.
