Petrofac Limited23 February 2007 The Company was notified on 23 February 2007 in accordance with DTR 5 of theUKLA source book that Petrofac ESOP Trustees Limited ("PETL") has a notifiableinterest on 21 February 2007 in 23,526,398 ordinary shares ("shares") of theCompany, representing approximately 6.81% of the issued share capital of theCompany. All of the shares are held direct and registered in the name ofPershing Keen Nominees. PETL holds shares on behalf of current and former employees of the PetrofacGroup. On 21 February 2007, a current employee transferred shares from PETL intohis own name with the result that PETL's holding in Petrofac Limited passedbelow 7%. There was no change in beneficial ownership of the shares concerned. As at 23 February 2007, the Company has 345,434,858 ordinary shares, which isequal to the same number of voting rights.
