Nyota Minerals Limited ("Nyota" or the "Company")

Holding in Company

On 4 May 2012 the Company received notice from Resource Capital Fund V L.P. ("RCF") that it had acquired 12,687,505 Nyota ordinary shares on 3 May 2012.

Following this acquisition, RCF now holds 50,687,505 Nyota ordinary shares representing approximately 7.9 per cent of the Company's issued share capital of 639,073,263 ordinary shares.
