Holdings in the Company and resignation of directors

The Company has been informed that the RBS Special Opportunities Fund has executed an agreement for the disposal of its entire shareholding in the Company, consisting of 41,712,397 ordinary shares and representing approximately 23.9% of the Company's issued share capital. This disposal was effected by way of a placing of shares to institutional investors (the "Placing").

As a result of the disposal of the RBS Special Opportunities Fund's entire shareholding, Lindsey McMurray and Ian Gascoigne, directors of the Company appointed by the RBS Special Opportunities Fund, have agreed to step down from the board of the Company with immediate effect.

Goldman Sachs International and Jefferies International Limited acted as Joint Bookrunners on the Placing.
