Premier Foods plc27 October 2005 Disclosure of Interest in Share Capital On 27 October 2005 the Company received notification by Axa Investment ManagersUK Limited of 7 Newgate Street, London, EC1A 7NX that, as at 26 October 2005,AXA S.A., 25 Avenue Matignon, 75008 Paris and its Group Companies wereinterested in 21,076,353 ord GBP 0.01 shares. These shares are represented by abeneficial interest of 13,941,213 shares (representing 5.69% of the issuedshare capital) and a non-beneficial interest of 7,135,140 representing 2.91% ofthe issued share capital). This notification of change is due to a decrease inthe beneficial interest holding from 6.82% to 5.69%.
