Holding in Company
The Company was notified on 28 June 2009 that following certain transactions in the ordinary 10p shares of the Company ("Ordinary Shares") on 23 June 2009 and 24 June 2009:
Open Joint Stock Company "Gazprom Neft" ("Gazprom Neft") is indirectly interested in 131,821,365 Ordinary Shares, which are registered in the name of Euroclear Nominees Limited, constituting approximately 34.10 per cent. of the entire issued Ordinary Shares ("Issued Shares") and is entitled to direct the exercise of the voting rights attaching to such shares.
LLC GazpromNeftFinance ("GazpromNeftFinance") (a wholly owned subsidiary of Gazprom Neft) exercised its rights as legal mortgagee in respect of 56,718,002 of the Ordinary Shares, constituting a further 14.67 per cent. of the Issued Shares and subsequently transferred them to LLC GazpromNeft-ZS, a wholly owned subsidiary of Gazprom Neft, pursuant to a sale and purchase agreement dated 23 June 2009. LLC GazpromNeft-ZS is now the registered holder of these shares and is entitled to direct the exercise of the voting rights attaching to such shares.
GazpromNeftFinance is the registered holder of 99,191,084 of the Ordinary Shares, constituting a further 25.66 per cent. of the Issued Shares and has become entitled to exercise (in its capacity as legal mortgagee), and has declared its intention to exercise, voting rights in respect of such shares for as long as it remains legal mortgagee.
