WellingtonManagement's interest in the shares is as an investment manager, as is mentionedin Sections 67(1) and 77(4)(B) of the Companies Act 1990 (the "Act"). TheAccounts do not act as a group nor do they act in concert with respect to theinterests in shares. Wellington Management acquired the interests in shares forthe Accounts in its capacity as discretionary investment manager to, and solelyfor the benefit of, the Accounts, and the interests were acquired solely forinvestment purposes. The shares are registered in the name of the Accounts orthe Accounts' custodians or nominees according to their respective holdings. 2 Wellington Management as discretionary investment manager on behalf of theAccounts, ceases to hold, in the aggregate, an interest with in the meaning ofSections 67(1) and 77(4)(B) of the Act. Wellington management currently holds7,295,444 ordinary shares and 13,978,418 ADR shares. On a converted basis, thisrepresents the equivalent of 77,187,534 ordinary shares, or 4.99% of the sharesoutstanding, of the Company.
