Petrofac Limited12 June 2007 The Company was notified on 12 June 2007 in accordance with DTR 5 of the UKLAsource book that Petrofac ESOP Trustees Limited ("PETL") has a notifiableinterest on 11 June 2007 in 20,643,877 ordinary shares ("shares") of theCompany, representing approximately 5.98% of the issued share capital of theCompany. All of the shares are held direct and registered in the name ofPershing Keen Nominees. PETL holds shares on behalf of current and former employees of the PetrofacGroup. On 11 June 2007, a current employee transferred shares from PETL into hisown name with the result that PETL's holding in Petrofac Limited passed below6%. There was no change in beneficial ownership of the shares concerned. As at 12 June 2007, the Company has 345,434,858 ordinary shares, which is equalto the same number of voting rights.
