Polar Capital Holdings PLC05 April 2007 Polar Capital Holdings plc (the "Company") 5 April 2007 Changes in Substantial Shareholders Interests The announcement released by the Company today (RNS No. 4779U) announcing changes in the substantial shareholders interest contained an error. The number of shares held by Mr Mansell and connected persons was over statedand should have been 1,880,000 ordinary shares which amounts to 2.81% of thevoting rights and not the 3,255,240 ordinary shares previously stated. The fully amended text of the announcement is given below. 5 April 2007 Changes in Substantial Shareholders Interests Following the announcement that the Company's issued share capital wouldincrease to 66,902,360 shares in issue, notices have been received from thefollowing substantial Shareholders advising the Company of changes in theirpercentage voting rights due to the increase in the shares in issue. None of the Substantial shareholders notifying the Company of these changes havedisposed of any shares. • Caledonia Investments Plc - Shareholding unchanged at 10,666,640 ordinary shares - voting percentage decreased from 16.48% to 15.94% • XL Re Ltd - Shareholding unchanged at 8,000,000 ordinary shares voting percentage decreased from 12.36% to 11.96% • B. Ashford-Russell and connected persons - Shareholding unchanged at 10,000,000 ordinary shares - voting percentage decreased from 15.45% to 14.95% • J. Mansell and connected persons - Shareholding unchanged at 1,880,000 ordinary shares - voting percentage decreased from 2.90% to 2.81% Notice has also been received by the Company from Mr James Salter that as aresult of the issue of 1,960,240 ordinary shares to him on 30 March 2007 as thepenultimate tranche of shares due to him under the terms of the crystallisationarrangements for fund managers incentive scheme ("PCPL Preference Share Scheme")as described in the Placing and admission document dated 31 January 2007 histotal shareholding is 3,288,520 ordinary shares, being 4.92% of the votingrights.
