Notification of Shareholding under Chapter 2 of Part IV of the Companies Act, 1990

Grafton Group plc ("the company") has been informed on 4 February 2010 by Bank of Ireland Asset Management Limited of 40 Mespil Road, Dublin 4 that it has an interest in 7,131,078 Grafton Units representing 3.09 per cent of the issued share capital of the company.

Of this holding, 6,128,554 units are registered in the nominee company name of Bank of Ireland Nominees Limited, 909,838 units are registered in the name of Mellon Nominees Limited, and 92,686 units are registered in the name of Nortrust Nominees Limited as registered owner only on behalf of a range of clients each of whom are the beneficial owner of a portion of the holding.
