Stream Group PLC10 November 2006 Date: 10th November 2006On behalf of: Stream Group plc ("Stream" or "the Company")Embargoed until: 0700hrs Holding in Company Stream Group plc was notified today that Mr Martin Higginson, through hisinvestment vehicle, Hindley Investments Limited of 91 Mitchell Street, Glasgow,G1 3LN, has increased his material interest in the Company to 3.8 million sharesrepresenting 6.26% of the issued share capital of the Company. Hindley Investments Limited also has an option over 5 million shares owned byReef Investments Limited, a company in which Mr Gordon Robson has a beneficialinterest, representing 28% of its total shareholding and 1 million shares ownedby Michael Spencer representing 25% of his total shareholding. It is MrHigginson's intention to acquire these shares at an agreed price of 20p subjectto the approval of the resolutions to be proposed at the Extraordinary GeneralMeeting ("EGM") of the Company on 1 December 2006. Therefore, subject to the resolutions being approved, after the EGM Mr Higginsonwill have a material interest in 9.8 million shares representing 14.42% of theincreased share capital of the Company. In addition, Reef Investments Limited and Mr Michael Spencer have givenirrevocable undertakings to vote in favour of the resolutions in respect oftheir own beneficial holdings, amounting in aggregate to 21,651,341 OrdinaryShares, representing 35.68% of the Company's issued Ordinary Share capital.This brings the total undertakings to vote in favour of the resolutions to52.96% of the Company's Ordinary share capital.
