Henderson Group - Update on PFI Fund II

Update on PFI Secondary Fund II L.P. (the 'Fund')

As previously announced, Henderson Equity Partners (GP) Limited and Henderson Equity Partners Limited, subsidiaries of Henderson Group plc ('Henderson Group'), and the Fund itself, were served with legal proceedings by a majority of investors in the Fund ('the Claimants') in December 2011.

Henderson Group and the Claimants announce today that the parties have reached a resolution of the matters in dispute between them. Under the terms of the agreement reached between them, the Henderson Group parties to the proceedings will (without any admission of liability) pay the costs of the proceedings and in return the proceedings will be withdrawn.
