Henderson Group plc ('Henderson Group') announces that it intends to appoint PricewaterhouseCoopers LLP as Henderson Group's auditor for the year ending 31 December 2014. The decision to appoint PricewaterhouseCoopers LLP to be the auditor for the year ending 31 December 2014 follows a tender process overseen by the Audit Committee. A resolution for shareholders to confirm the appointment of PricewaterhouseCoopers LLP will be put to shareholders at the May 2014 Annual General Meeting and, assuming the resolution is passed, Henderson Group would then issue a formal announcement confirming PricewaterhouseCoopers LLP's appointment as required by ASX Listing Rule 3.16.3.

Ernst & Young LLP, Henderson Group's current auditor, will audit Henderson Group's accounts for the year ending 31 December 2013.

The Board of Henderson Group extends their appreciation to Ernst Young LLP for their service to the Group as auditors and the Board confirms there are no matters in connection with Ernst & Young LLP's retirement as auditors which need to be brought to the attention of shareholders.
