Hastings Group Holdings plc (the "Company")

Conversion of Hastings Investco Limited Shareholding into Direct ShareholdingsThe Company announces that it has been notified by Hastings Investco Limited, current holder of 21.71% of the Company's issued ordinary share capital, that, in connection with the dissolution of the entity, and its parent entity Hastings Holdco Limited, the indirect interest in the Company's shares held by GS Shareholders, certain Founder Shareholders, and certain directors and senior managers of the Company and its subsidiaries have been converted into direct holdings in the Company.

As a result of this transaction, the Panel on Takeovers and Mergers has confirmed, and the Company has agreed, that the GS Shareholders and Founder Shareholders are no longer regarded as a concert party for the purposes of the City Code on Takeovers and Mergers.

The Company has also been notified that the 90-day lock-up applied to GS Shareholders in connection with the Placing of the Company's shares announced on 9 May 2017 shall continue to apply.

Separate announcements will be made, as appropriate, to satisfy the notification obligations under section 5.1 of the Disclosure and Transparency Rules and section 793 of the Companies Act 2006 and article 19 of the Market Abuse Regulation.

GS Shareholders and Founder Shareholders

For the purposes of this announcement, the "GS Shareholders" are entities represented by Goldman Sachs Merchant Banking Division, being Hastings A, L.P., Hastings B, L.P., and Goldman Sachs & Co LLC. The "Founder Shareholders" are Neil Utley (and certain members of his immediate family) and Richard Brewster, each of whom hold their interests in the Company directly; and Edward Fitzmaurice, Keith Charlton, and Narmali Utley, each of whom have held indirect interests in the Company via Hastings Investco Limited.
