The Company's property portfolio is operating at full occupancy,generating £5.6 million in rental income, up from £4.6 million reported at theprior half-year end, reflecting rental growth and the larger property portfoliofollowing the acquisition of The Pad and Scape Greenwich in December 2013 andMay 2014 respectively. The Company delivered a dividend yield of 5.5% in its first year and seeks togrow the dividend in line with RPI in terms of pence per share. The Companyincreased its dividend for the period by 2.6% on an annualised basis, paying/declaring a dividend of 1.40 pence per share for each of the two financialquarters. The Company has delivered a total return of 10% for the six monthperiod to 31 December 2014. Property portfolio The Company's property portfolio is fully occupied for the 2014/15 academicyear, with 3.6% average gross rental uplift year-on-year. The values of theCompany's property assets have performed ahead of expectations with a 6% upliftin the period, driven by a combination of yield compression and increasingrental rates. The external valuation of the Company's property portfolio was£160.7 million as at 31 December 2014, up from £151.6 million at 30 June 2014. Financial results The Company generated net operating income of £4.3 million, operating profit of£12.6 million and total profit after finance costs of £11.9 million in the sixmonths to 31 December 2014. The Company's basic EPS for the period was10.86 pence and EPRA EPS was 2.59 pence. EPRA NAV per ordinary share has increasedby 8.13 pence, with reference to the EPRA NAV at 30 June 2014, to 110.77 pence,driven by high occupancy, year-on-year rental growth and portfolio valuationuplifts. Dividends The Company has declared a total dividend of 2.80 pence per ordinary share inrespect of the half year ended 31 December 2014. The first interim dividend of1.40 pence per share was paid on 5 December 2014. On 28 January 2015, theCompany declared a second interim dividend of 1.40 pence per share for thequarter ended 31 December 2014. The second interim dividend will be paid on5 March 2015, as 1.12 pence per ordinary share as a PID in respect of the Group'stax exempt property rental business and 0.28 pence per ordinary share as anon-PID. AIFMD The Company is classed as an externally managed AIF under the AIFMD. TheInvestment Manager acts as the Company's AIFM and Langham Hall LLP providesdepositary services to the Company. Delisting from the CISEA As announced to the market on 10 September 2014, following consultation withthe Company's legal and financial advisers, the Board decided that it was nolonger in the interests of shareholders for the Company to retain a listing ofits ordinary shares on the CISEA, given the ongoing costs of such listing. Thedelisting from the CISEA took effect on 10 October 2014. The Company's ordinaryshares continue to trade on the SFM. Possible equity raise The Company has continued to perform strongly since IPO against an encouragingbackdrop for the student residential accommodation market, particularly in theCompany's core market in and around London where the supply/demand imbalancefor student residential accommodation is particularly acute. Looking forward, the Company has committed to acquire Scape Surrey (formerlyScape Guildford) and The Pad 2, located adjacent to RHUL, and is in advancednegotiations for the acquisition of a c.550 bed new build asset in a primeLondon location. These three developments, with an aggregate of c.800 beds, areclose to completion for the start of the 2015/16 academic year. Accordingly, the Board is considering an equity raise in June 2015 to fund theacquisitions of these assets. It is currently envisaged that the Company willseek to raise between approximately £80 million to £100 million of equity.Following the acquisition of these three assets the Company will have aportfolio of properties located in and around London with an aggregate ofc.1,800 beds. It is currently envisaged that any such capital raise would be structured byway of an issue of convertible preference shares ("C Shares"). Any issue ofC Shares would be structured so as to not be dilutive to existing shareholders'NAV, with any costs directly attributable to such issuance being borne bysubscribers to the C Share issue. The Company is taking legal, tax andfinancial advice and will make a further announcement in due course. Outlook The structural supply and demand imbalance for student residentialaccommodation, notably in London which is the Company's primary market, remainsacute. Housing supply by HEIs remains flat in the capital, while the privateresidential rented sector is facing more onerous regulations and rising demandfrom non-students. Whilst London continues to have the largest student population of any city inthe UK (and the largest number of international students of any city in theworld), there remains a shortage of purpose-built modern accommodation. Thisshortfall underpins the strong performance of the asset class in London, asevidenced in part by the 6% valuation uplift seen by shareholders in the periodto 31 December 2014. Looking forward, whilst student numbers are expected to continue to rise inLondon, supply is expected to remain constrained, with planning reforms andrising land values making it ever more difficult to bring new developmentson-stream. The relative attraction of the asset class has seen a broad range ofglobal investors seeking direct exposure to the market, including pensionfunds, private equity buyers and established and new student residentialaccommodation operators. The outlook for the market in which the Company operates is highly encouraging.The Board nonetheless remains aware of the risks inherent in a market wherevaluations are being driven up on existing student residential developmentswhich may be suitable for the Company's portfolio. Against this background, the Board believes that the Company's existinginvestment policy may in future constrain its ability to source and secureinvestment in suitable opportunities offering an attractive total returnprofile for shareholders in the longer term and may limit the Company's abilityto grow its asset base, which in its own right will broaden the shareholderbase and enhance market liquidity for all shareholders. Accordingly, the Board is considering whether it would be appropriate for theCompany to consider a modification to the current investment policy to permitinvestment in development and forward-funded projects where such projects areincome-generative, thereby securing operational new-build properties in whichthe Company is currently unable to invest under its existing investment policy.This would enable the Company to benefit from the availability of additionalattractive projects in and around London. Any modification to the Company's investment policy will only be made with theapproval of shareholders at a general meeting of the Company. The Board willobtain legal and financial advice ahead of putting any such proposals toshareholders which, if deemed suitable, would be presented to shareholders fortheir approval at the AGM later this year. Annual management fee The Company has entered into an investment management agreement with Gravis Capital Partners LLP. Investment policy The Company intends to meet its investment objective through owning, leasingand licensing student residential accommodation and teaching facilities to adiversified portfolio of direct let tenants and HEIs. The Company will investin modern, mostly purpose-built, private student residential accommodation andteaching facilities located primarily in and around London where the InvestmentManager believes the Company is likely to benefit from supply and demandimbalances for student residential accommodation. Rental income will predominantly derive from a mix of contractual arrangementsincluding direct leases and/or licences to students ("direct let agreements"),leases and/or licences to students guaranteed by HEIs and/or leases and/orlicences directly to HEIs. The Company may enter into soft nominationsagreements (pari passu marketing arrangements with HEIs to place their studentsin private accommodation) or hard nominations agreements (longer-term marketingarrangements with HEIs of between 2 and 30 years in duration). The Company intends to focus primarily on accommodation and teaching facilitiesfor students studying at Russell Group universities and other leading academicinstitutions, regional universities with satellite teaching facilities in andaround London and at specialist colleges. Investment restrictions The Company will invest and manage its assets with an objective of spreadingrisk through the following investment restrictions: * the Company will derive its rental income from a portfolio of not less than 500 units; * at least 90% by value of the properties directly or indirectly owned by the Company shall be in the form of freehold or long leasehold (over 60 years remaining at the time of acquisition) properties or the equivalent; * the Company will not invest in development assets or assets which are unoccupied or not producing income at the time of acquisition; and * the Company will not invest in closed-ended investment companies. Use of derivatives The Company may invest through derivatives for efficient portfolio management.In particular, the Company engages in interest rate hedging or otherwise seeksto mitigate the risk of interest rate increases as part of the Company'sefficient portfolio management. Borrowing and gearing policy The Company may use gearing to enhance returns over the long term. The level ofgearing will be governed by careful consideration of the cost of borrowing andthe Company may use hedging or otherwise seek to mitigate the risk of interestrate increases. Gearing, represented by borrowings as a percentage of grossassets, will not exceed 55% at the time of investment. It is the Directors'current intention to target gearing of less than 30% of gross assets in thelong term and to comply with the REIT condition relating to the ratio betweenthe Company's `property profits' and `property finance costs'. The InvestmentManager has advised on student accommodation and educational assets since itsformation and its senior management team have combined experience of over30 years in the sector. In the last ten years, the partners of the InvestmentManager have advised on the financing, development, acquisition and managementof student accommodation and educational property assets with a value in excessof £500 million. Financial results The Company delivered a strong set of half-yearly results with profit for theperiod of £11.9 million and EPS of 10.86 pence, following higher thananticipated valuation gains on the Company's property portfolio as a result ofyield compression and increasing rental rates. EPRA EPS was 2.59 pence,reflecting income per share of the Group's property rental business andexcludes non-recurring items such as valuation uplifts and movements in thefair value of derivatives. The property portfolio generated rental income of £5.6 million for the period,with 3.6% average rental uplift year-on-year. The Company incurred propertyoperating expenses of £1.2 million, increasing principally due to the impact ofprior period acquisitions and additional one-off operating expenses associatedwith the prior period. Administration expenses of £0.8 million include the Investment Manager's feeand other service providers' costs incurred in the period. Administrationexpenses have increased due to the acquisition of the Company's subsidiariesand their associated administrative costs. Total gains on investment propertiesin the period amounted to £9.1 million, generating operating profit for theCompany of £12.6 million. Finance costs fell to £0.7 million as a result of the Company's significantlyimproved financing arrangements with its lender, Barclays, and the replacementof the previous interest rate swap with a new swap with a notional value of £20.0 million, which reduced the Group's weighted average cost of debt from 4.4%to 3.0%. The Company is operating with a debt-to-property value at 31 December2014 of 24.6% (30 June 2014: 26.0%). At 31 December 2014, there were no dilutive equity instruments in issue and,therefore, the Company's basic and diluted EPS was 10.86 pence per share. Dividends The Company delivered a dividend yield of 5.5% in its first year and seeks togrow the annual dividend line with RPI. The Company has paid/declared interimdividends of 2.80 pence per share for the period to 31 December 2014,increasing the dividend for the period by 2.6% on an annualised basis. Thefirst interim dividend was paid in full as a PID in respect of the Group's taxexempt property rental business. The second interim dividend, which will bepaid on 5 March 2015, consists of a PID payment of 1.12 pence per ordinaryshare and a non-PID payment of 0.28 pence per ordinary share. The Company has maintained significantheadroom against all measures throughout the period under review and was infull compliance with all loan covenants at 31 December 2014. Cash flow generation The Company generated £3.3 million of cash flows from operating activities inrelation to its student accommodation portfolio. The Company paid finance costsof £0.6 million and dividends to shareholders of £3.0 million, resulting in anet decrease of £0.3 million in cash and cash equivalents at the period end. Net assets Net assets attributable to equity holders at 31 December 2014 were£121.5 million (30 June 2014: £112.9 million). Property valuation gains, togetherwith retained profits, contributed to a 7.9% growth in EPRA NAV, an increase of8.13 pence on the 30 June 2014 NAV. At 31 December 2014, there were 109,910,428 shares in issue, giving an EPRA NAVper ordinary share of 110.77 pence (30 June 2014: 102.68 pence). The Company's share price hit anall-time high of 116.13 pence per share on 11 December 2014. The 52-week low of 103 pence coincided with the Company going ex-dividend onits fourth interim dividend for the year ended 30 June 2014, as would beexpected. The Company produced 20% total return during the period on an annualised basis,considerably in excess of its target. This was driven by the stated dividend declarations and payments alongsideabove forecast share price performance. Investment portfolio The Company's property portfolio consists of three residential studentaccommodation properties, Scape East, Scape Greenwich and The Pad. The Companyacquired its seed asset, Scape East, in May 2013. The Company built on itsinitial acquisition by acquiring The Pad in December 2013. The Company's mostrecent acquisition, Scape Greenwich, was acquired in May 2014. The Pad 71 Egham Hill, Egham TW20 0ER Location: Egham Number of rooms: 116 The Pad is located adjacent to the entrance to the RHUL campus. The building isa modern, purpose-built student accommodation block offering 116 roomscomprising of 15 studios and 101 en-suite rooms. The studios comprisefully-furnished rooms with kitchenette and appliances provided and en-suiteshower room. Asset performance In September 2014, Scape East commenced its third academic year of operation,with Scape Greenwich and The Pad now into their respective second academicyears. The properties are all fully occupied for the 2014/15 academic year, allon 51-week tenancies. The Company's property portfolio has continued to perform strongly, with avaluation of £160.7 million driving property revaluation gains of £9.1 millionsince 30 June 2014. The valuation uplift can be attributed to 3.6% year-on-yearrental growth and yield compression of c.20 bps across the Company's portfolio. The student mix for Scape East, Scape Greenwich and The Pad has remained fairlystatic compared to the 2013/14 cycle, with international students up 4% and EUand UK students both down 2%, reflecting the asset and facilities managers'continued drive to attract international student residents. The population of international student residents has increased 2% year-on-yearto 87%, with the majority coming from non-EU countries. Approximately 77% ofthe student population are undergraduates, with the remainder studying atpostgraduate level. There are 41 HEIs represented across the student resident population for the2014/15 academic year. QMUL continues to supply the majority of the students atScape East, accounting for over 75% of the total direct let population, whichis broadly consistent with 2013/14 levels. Market summary Higher education continues to be a mainstay of the UK's economic growth and oneof the country's leading service exports. The UK has the second largest marketshare of international students after the US, with 13% of all internationalstudents studying outside of their country of origin. Students' decisions tostudy in the UK are primarily driven by the combination of English languageeducation, comparatively cheaper course costs and the high quality of educationon offer, with ten universities in the top 100 universities in the world. The 2014/15 academic year was the strongest on record in the UK, with 512,400applicants placed in higher education through UCAS, the first time the servicehas placed over half a million people. The year-on-year increase was a total of16,800 more students placed in 2014 than in 2013, an increase of 3.4%. Students have begun the process of applying for the 2015/16 academic year. Thisis the first year that the UK government has removed the cap on the number ofplaces that can be offered by an HEI to UK students. The first set ofapplication data for the January 2015 deadline produced by UCAS showed a2% year-on-year increase, with the strongest growth coming from internationalstudents, where applications were more than 5% up on the previous year. Londonsaw the largest increase in demand, with 44% of 18-year olds now applying. Student accommodation The market has continued its strong performance in the period with over£2 billion of investment activity in the past twelve months. What was once a nichealternative property asset class is now very much a mainstream investmentopportunity with a broad spectrum of institutional and private investors in thesector. There continues to be a shortfall of supply and an excess of demand forpurpose-built student accommodation in the majority of UK cities. Thecombination of this market disequilibrium and an increasing number of investorshas had the effect of reducing yields in the sector over the period, much inline with the wider property market. The supply/demand imbalance continues to be at its most acute in London, wherethere remains a c.190,000 bed shortfall. The Investment Manager is of theopinion that this shortfall will continue to persist over the coming years dueto the restrictive planning regime and strong alternate use values of land,primarily driven by the residential sector. The pipeline for London over thefollowing two years is well below the forecast increase in student numbers andis therefore likely to lead to further rental increases. General information GCP Student living plc is a closed-ended investment company incorporated in theUK on 26 February 2013. Basis of preparation These consolidated financial statements for the six months ended 31 December2014 have been prepared in accordance with IAS 34 Interim Financial Reporting.They do not include all financial information required for full annualfinancial statements and have been prepared using the accounting policiesadopted in the audited financial statements for the period ended 30 June 2014.Those financial statements were prepared in accordance with IFRS issued by theIASB as adopted by the European Union. However, uncertainty about these assumptions and estimates couldresult in outcomes that require a material adjustment to the carrying amount ofthe asset or liability in the future. Judgements In the process of applying the Group's accounting policies, management has madethe following judgements which have the most significant effect on the amountsrecognised in the consolidated financial statements: Operating lease commitments - Group as lessor The Group has entered into commercial property leases on its investmentproperty portfolio. The Group has determined, based on evaluation of the termsand conditions of the arrangements, such as the lease term not constituting asubstantial portion of the economic life of the commercial property, that itretains all the significant risks and rewards of ownership of these propertiesand accounts for the contracts as operating leases. Valuation of property The valuations of the Group's investment property are at fair value asdetermined by the external valuer on the basis of market value in accordancewith the internationally accepted RICS Valuation - Professional StandardsJanuary 2014 (incorporating the International Valuation Standards) and inaccordance with IFRS 13. Going concern The Directors have made an assessment of the Group's ability to continue as agoing concern and are satisfied that the Company has the resources to continuein business for the foreseeable future. An initial loan of £57.7 million wastransferred to the Company on the acquisition of Scape East on 20 May 2013, ofwhich £32.6 million was repaid on 23 May 2013. The Group uses gearing to enhance returns over the long term. The level ofgearing is governed by careful consideration of the cost of borrowing and theGroup uses hedging or otherwise seeks to mitigate the risk of interest rateincreases. It is the Directors' currentintention to target gearing of less than 30% of gross assets in the long termand to comply with the REIT condition relating to the ratio between the Group's`property profits' and `property finance costs'. The swap isused to hedge the exposure to the variable interest rate payments on thevariable rate element of the Company's secured loans. Cash flows are expected to occur between the reporting date and May 2017 andwill be recognised through profit or loss at that time. The fair value of the interest rate swap at the end of the reporting period wasa liability of £284,000 (30 June 2014: asset of £47,000). Derivatives are classified in Level 2 in the fair value hierarchy under IFRS 13. 10. Fair value IFRS 13 defines fair value as the price that would be received to sell an assetor paid to transfer a liability in an orderly transaction between marketparticipants at the measurement date. The following methods and assumptionswere used to estimate the fair values. Cash and short-term deposits, trade receivables, trade payables, and othercurrent liabilities approximate their carrying amounts due to the short-termmaturities of these instruments. The fair values of the derivative interest rate swap contracts are estimated bydiscounting expected future cash flows using current market interest rate,yield curves and performance risk over the remaining term of the instrument. Valuation of investment property is performed by Knight Frank LLP, anaccredited external valuer with recognised and relevant professionalqualifications and recent experience of the location and category of theinvestment property being valued, however the valuations are the ultimateresponsibility of the Directors. The valuation of the Company's investment property at fair value is determinedby the external valuer on the basis of market value in accordance with theinternationally accepted RICS Valuation - Professional Standards (incorporatingthe International Valuation Standards). The determination of the fair value of investment property requires the use ofestimates such as future cash flows from assets (such as lettings, tenants'profiles, future revenue streams, capital values of fixtures and fittings,plant and machinery, any environmental matters and the overall repair andcondition of the property) and discount rates applicable to those assets. Financial risk management objectives and policies The Company's principal financial liabilities, other than derivatives, areloans and borrowings. The main purpose of the Company's loans and borrowings isto finance the acquisition of the Company's property portfolio. The Company hastrade and other receivables, trade and other payables and cash and short-termdeposits that arise directly from its operations. The Company is exposed to market risk, interest rate risk, credit risk andliquidity risk. The Board of Directors review and agree policies for managingeach of these risks, which are summarised below. Market risk Market risk is the risk that the fair values of financial instruments willfluctuate because of changes in market prices. The financial instruments heldby the Company are all fixed terms at fixed rates with the floating elementshedged on 50% of total borrowings. The Company's exposure to market risk islimited to the remaining 50% which is not hedged. Interest rate risk Interest rate risk is the risk that the future cash flows of a financialinstrument will fluctuate because of changes in market interest rates. TheCompany's exposure to the risk of changes in market interest rates relatesprimarily to the Company's long-term debt obligations with floating interestrates. To manage its interest rate risk, the Group enters into interest rateswaps to hedge the exposure to floating rate movements. Credit risk Credit risk is the risk that a counterparty will not meet its obligations undera financial instrument or customer contract, leading to a financial loss. TheGroup is exposed to credit risk from its leasing activities and its financingactivities, including deposits with banks and financial institutions andderivatives. Credit risk is managed by requiring tenants to pay rentals in advance. Thecredit quality of the tenant is assessed based on an extensive credit ratingscorecard at the time of entering into a lease agreement. Outstanding tenants'receivables are regularly monitored. The maximum exposure to credit risk at thereporting date is the carrying value of each class of financial asset. The deposit account, cash and cash equivalents and the financial derivativesare held with Barclays which holds an A credit rating. Liquidity risk Liquidity risk is defined as the risk that the Group will encounter difficultyin meeting obligations associated with financial liabilities that are settledby delivering cash or another financial asset. Exposure to liquidity riskarises because of the possibility that the Group could be required to pay itsliabilities earlier than expected. The Group's objective is to maintain abalance between continuity of funding and flexibility through the use of bankdeposits and loans. 12. Related party transactions As defined by IAS 24 Related Party Disclosures, parties are considered to berelated if one party has the ability to control the other party or exercisesignificant influence over the other party in making financial or operationaldecisions. Directors The Directors of the Company and subsidiaries are considered to be the keymanagement personnel of the Group. Directors' remuneration for the period from1 July 2014 to 31 December 2014 totalled £47,000 (period 26 February 2013 to31 December 2013: £38,000) and the balance outstanding at 31 December 2014 was£12,000 (2013: £7,000). Investment Manager The Company is party to an Investment Management Agreement with the InvestmentManager, pursuant to which the Company has appointed the Investment Manager toprovide investment management services relating to the respective assets on aday-to-day basis in accordance with their respective investment objectives andpolicies, subject to the overall supervision and direction of the Board ofDirectors. For its services to the Company, the Investment Manager receives an annual feeat the rate of 1% of the NAV of the Company (or such lesser amountas may be demanded by the Investment Manager at its own absolute discretion).During the period from 1 July 2014 to 31 December 2014, the Group incurred£603,000 (period 26 February 2013 to 31 December 2013: £437,000) in respect ofinvestment management fees and expenses and the balance outstanding at31 December 2014 was £307,000 (2013: £175,000). 13.
