"Despite the increasingly tough markets we operate in, the early and decisiveactions we have taken to defend and develop our business have allowed us todeliver a resilient performance. Where we have seen a slowdown in demand wehave reacted quickly to reduce our cost base, particularly in the UK andAustralia. Consultant headcount is adjusted for the re-classification of 45 consultants within APAC to non-consultant employees as at 31 December 2007.
Group turnover increased by 5%, net fees increased by 2% (declining by 2% on a like-for-like basis*), and operating profit decreased by 16% (20% on a like-for-like basis*). The results benefited from exchange rate movements, principally the Euro and Australian dollar, which had a favourable impact increasing net fees by £18.3 million and operating profit by £5.6 million.
Net fees in the permanent business, representing 48% of Group net fees,declined by 9%*, with permanent placement volumes decreasing by 16%. The fallin permanent placement volumes reflects the increasingly difficult marketconditions in nearly all of our core permanent markets. Average fees perplacement increased by 8%* compared to last year due to a favourable change inmix. The temporary placement business, representing 52% of Group net fees,continued to be resilient with net fees increasing by 4%*. This represented avolume and mix increase of 2% and a 30 basis point increase in the temporarymargin to 18.3% (2007: 18.0%)**. The performance of our temporary businessagainst such a difficult economic backdrop underlines the advantage of havingleading positions in both permanent and temporary placement markets.The Group's conversion rate, which is the proportion of net fees converted intooperating profit, decreased from 33.4% in the prior year to 27.4% this period.This was a result of the marked reduction in the net fee growth rate in theperiod having a negative leveraged impact on profit due to a higher averagecost base through the period. We have responded rapidly by adjusting the costbase of the Group, including reducing the number of consultants by 9% in thesix month period ended 31 December 2008. Overall the consultant headcount atthe end of the period was 8% below the prior year. The majority of thisdecrease has been in the worst affected markets, the United Kingdom & Irelandand Australia & New Zealand. International network
In the United Kingdom & Ireland we reduced our office network by a total of 14offices over the period as we have sought to drive efficiency by consolidatingoperations in some cities. In the International business we have continued toinvest in specific strategic opportunities. We opened two new offices in theperiod in Continental Europe (in Germany and Poland) and new offices in Canadaand Australia. In the United Kingdom & Ireland, net fees declined by 15% on an actual andlike-for-like basis* to £192.6 million, with operating profit down 35% (36% ona like-for-like basis*) to £45.6 million. The difference between actual growthand like-for-like growth was due to the appreciation of the Euro in our Irelandbusiness. The economy had an increasing impact during the period, withpermanent placement net fees down 25%* as market conditions deteriorated in ourprivate sector markets. Temporary placement net fees were down 6%* in theperiod, demonstrating resilience in all of our main markets, with the exceptionof the Construction & Property business. The conversion rate declined from31.3% to 23.7% in the period.Net fees in the Accountancy & Finance business declined by 13%*, reflectingreduced client and candidate confidence. Construction & Property, which servesboth the construction and "built" environment sectors, recorded a 25%* fall innet fees as a result of very tough market conditions in the sector. Information Technology suffered from a reduction in activity and consequentlynet fees fell by 1%. Among the Other Specialist Recruitment Activities therewere mixed performances. City-related activities, Legal and Human Resources,experienced very weak markets and reductions in demand levels, whilst Educationand Healthcare continued to be our best performing areas. Overall, our publicsector business, which now represents around 29% of the United Kingdom &Ireland net fees, achieved growth of 12% in the period. This performanceresulted from our decision taken 12 months ago to redirect resources towardsthe public sector and increase our focus on leveraging our nationwide coverageand public sector expertise to take share in this market.We have continued to take action to address the fall in net fees and operatingprofit that occurred in the period. We have reduced our headcount by 14% overthe past six months and by a total of 20% over the 12 month period. We alsoclosed a total of 15 offices in the period as we have sought to consolidateavailable office space where necessary. We have made excellent progress on ourkey efficiency programmes. Our back office automation project is on track tocomplete in June 2010 and our new front office system is on course to berolled-out on schedule into a number of our United Kingdom & Ireland businessesby the end of the financial year. We have also continued to strengthen ournational corporate account management and recruitment outsource services andthese investments have yielded several important client wins in the period.HM Revenue & Customs has recently re-confirmed it is withdrawing the staff hireconcession from 1 April 2009. Under the staff hire concession, Hays ispermitted to charge VAT on our net fee only and not the full cost of thetemporary worker to clients. The changes resulting from its removal will be ofsignificance to clients who are unable to reclaim their VAT in full. These areprincipally organisations operating in the Financial Services, Social Housing,Health and Charity sectors. Currently around £20 million of our net fees perannum are generated from temporary workers placed under the staff hireconcession. Following the removal of this concession we will be required tocharge VAT on the full cost of the temporary worker to these organisations,thereby increasing the cost of temporary workers to these organisations. In Asia Pacific, net fees increased by 10% (3% on a like-for-like basis*) to £88.3 million and operating profit increased by 1% (but decreased by 4% on alike-for-like basis*) to £38.9 million. The difference between actual growthand like-for-like growth was mainly due to the appreciation in the Australiandollar. The business achieved a strong conversion rate of 44.1% in the periodalthough this was down from the 47.9% achieved last year.In our market leading Australia & New Zealand business there were contrastingperformances between the permanent and temporary placement businesses. Whilstthe temporary placement business continued to perform well increasing net feesby 16%*, the permanent placement business saw a significant deterioration indemand levels, particularly in the second quarter, which resulted in a 9%* fallin net fees in the period. Overall net fees in Australia & New Zealandincreased by 3%* in the period. The public sector accounts for 20% of net feesin Australia & New Zealand and this continued to provide good growth,increasing net fees by 13% versus last year. Resources & Mining and the newerspecialisms were the best performing areas, whereas Accountancy & Finance,Construction & Property and IT were each increasingly impacted by the economy. In Asia, market conditions weakened as the global economic issues started toimpact recruitment, with net fee growth in this region decreasing to 9%* in theperiod. We have responded quickly to changes in market conditions across the region byreducing headcount by 12% in the six months ended 31 December 2008. As at theend of the period, headcount was 3% below the prior year.

The Continental Europe & RoW division delivered a good result increasing netfees by 49% (27% on a like-for-like basis*) to £102.8 million and operatingprofit by 30% (9% on a like-for-like basis*) to £20.6 million compared to thesame period last year. The difference between actual growth and like-for-likegrowth was largely due to the appreciation of the Euro. The conversion ratedecreased to 20.0% as a result of a marked deterioration in trading conditionsin most countries towards the end of the period. Consultant headcount increasedby 19% versus prior year and by 4% during the six month period to 31 December2008. This was driven by headcount investment in the first quarter as marketconditions and growth remained strong across most countries. However, as marketconditions weakened in many of our markets later in the second quarter, weresponded by removing 3% of headcount.The division's strong performance was led by the continued excellent growth inGermany, representing 44% of the division's net fees, which recorded net feegrowth of 35%* in the period. This business focuses predominantly on the IT andEngineering contracting markets. However, our strategy to diversify into abroader range of specialisms, including Accountancy & Finance, Legal andPharmaceutical, has also contributed significantly to this excellent result andthese newer specialisms now account for 15% of total net fees in Germany. France, representing 18% of the division's net fees, grew net fees by 16%*.However, market conditions weakened significantly towards the end of the periodin France and in a number of our other major countries in the region includingBenelux and Spain and, as a result of these countries' focus on the permanentplacement market, their performances weakened considerably in the secondquarter.
Our smaller country businesses had mixed results. Our businesses in Italy, Brazil, Poland and Hungary achieved strong net fee growth. However, Sweden, the Czech Republic and Slovakia each faced tougher market conditions.
Net finance charge
The net finance charge for the period was £4.3 million (2007: £2.3 million)comprising a net bank interest charge of £2.7 million (2007: £3.7 million), anet interest charge on the defined pension scheme obligations of £1.2 million(2007: £1.5 million interest credit) due to lower expected returns on thescheme assets, and a charge for the Pension Protection Fund levy of £0.4million (2007: £0.1 million).
Taxation
Tax on continuing operations for the period was £30.2 million. The effectivetax rate remains at the same level as the corresponding period last year at 30%with the 2% reduction in the United Kingdom tax rate offset by a change in thegeographical mix of profits.
Earnings per share
Basic earnings per share from continuing activities decreased 15% to 5.15 pence(2007: 6.05 pence). The fall in earnings per share results from the reductionin profit after tax, being 18% below last year's result, partially offset bythe favourable annualised impact of the accretion from the prior year's sharebuy-back programme. Cash flow and balance sheet
Cash flow in the period was very strong, with 131% conversion of operatingprofit into operating cash flow driven by an excellent working capitalperformance. Overall, net cash generated by operations was £137.6 million(2007: £105.0 million). Cash inflow from working capital was £24.3 million,resulting from the fall in net fees in the latter part of the period and animprovement in trade debtor days to 37 days (2007: 39 days). Tax paid was £36.0million. Net capital expenditure was higher at £17.0 million, reflecting theadditional expenditure on the Group's key IT projects. £54.0 million was paidout in dividends, £2.6 million was paid out in net interest, and £2.0 millionwas used for the share buy-back programme. Net debt decreased from £81.1million at the start of the period to £54.6 million at the end of the periodand we expect it to fall further in the second half of the year.The Group has a £460 million unsecured revolving credit facility available,which expires in February 2011. The covenants in the facility require theGroup's interest cover to be at least 4:1 and its leverage ratio (net debt toEBITDA) to be no greater than 3:1. The Group has significant headroom withinthese covenants.
Capital structure and dividend
The Board's current priorities for our free cash flow are to fund Groupdevelopment, support a sustainable dividend policy and to maintain the strengthof the balance sheet. During the period we purchased 1.7 million shares at atotal cost of £1.4 million. The Board has no plans to buy back further sharesin the current financial year.The Board has decided to pay an interim dividend of 1.85 pence per share, whichis in line with last year. The interim dividend payment date will be 17 April2009 and will be paid to shareholders on the register on 20 March 2009.
Retirement benefits
The Group's pension liability under IAS 19 at 31 December 2008 of £96.6 million(£69.6 million net of deferred tax) increased by £8.5 million compared to 30June 2008 primarily due to the reduction in equity values. During the period,the Company contributed £4.4 million of cash into the defined benefit scheme,which included £2.1 million additional funding.
Management Changes
On 14 October 2008, Tim Cook was appointed Managing Director of the UnitedKingdom & Ireland business taking over from Alistair Cox, Group ChiefExecutive, who had been acting Managing Director since February 2008. Tim hasheld a number of roles during his 21 year career at Hays, most recently asManaging Director of the Construction & Property business in the United Kingdom& Ireland. Treasury management
The Group's treasury operations remain straight forward and uncomplicated withGroup operations financed by retained earnings and bank borrowings. The Grouphas a £460 million revolving credit facility in place until February 2011 andit uses this facility to manage its day-to-day working capital requirements asappropriate. All borrowings are raised by the Group's UK-based treasurydepartment, which manages the Group's treasury risk in accordance with policiesset by the Board. The Group's treasury department does not engage inspeculative transactions and does not operate as a profit centre.
Counterparty risk primarily arises from investment of any surplus funds. The Group restricts transactions to banks and money market funds that have an acceptable credit rating and limits exposure to each institution.
Principal risks facing the business
There are a number of potential risks and uncertainties that could have a material impact on the Group's performance over the remaining six months of the financial year and could cause actual results to differ materially from expected and historical rates. These risks include the following:
Macro economic environment
The performance of the Group has a very close relationship and dependence onthe underlying growth of the economies of the countries in which it operates.The Group strategy is to continue to grow the size of its Internationalbusinesses in the countries in which the Group currently operates and withinnew countries in which the Group currently has no operations. This will reducethe Group's exposure to, or dependence on, any one specific country's economy.Competitive environmentIn the United Kingdom & Ireland and Australia & New Zealand, the markets forthe provision of permanent and temporary recruitment are competitive andfragmented. In these more developed markets, competitor risk manifests itselfin increased competition for clients and candidates and in pricing pressures. In Continental Europe & Rest of the World and Asia (excluding Japan), themarkets for the provision of recruitment services remain less developed and themarket place is more fragmented. However, the markets in Continental Europeand Asia are developing quickly.
The Group's long-term strategy is to grow our businesses in the International territories.
The Group's competitors range from large multi-national organisations to small,boutique, privately-owned businesses. The Group is continually subject toexisting and new competitors entering into the markets in which it operates.The competitive threat is from small start-up operations to largemulti-nationals, as the costs of entry into the specialist recruitment marketscan be relatively low, although these costs have risen with the increasedlevels of compliance required from local regulators and clients.
Commercial relationships
The Group benefits from close commercial relationships with key clients in boththe public and private sectors. Within the private sector the Group is notdependent on any single key client. However, like most companies, the Group isalways subject to the risk that a large customer might be unable to fulfill itsobligations, which might materially impact the Group's results.
The public sector accounted for approximately 20% of the Group's total net fees in the last financial year. The public sector markets in which the Group operates include a large number of national and local government organisations.
Contractual risk
In their contractual arrangements, clients increasingly require more complex levels of compliance e.g. reference checking. The Group takes its responsibilities seriously and, to reduce the risk of non-compliance, such contracts may be allocated to dedicated teams and audits are performed.
The placement of temporary workers represents a greater inherent risk thanpermanent placements. Wherever possible, Group contracts include clausesplacing the responsibility for supervision and control of the worker with theclient and exclude any consequential loss and limit the Group's totalliability. The Group has in place clear guidance on the approval of contractualterms and its application is monitored, especially in relation to anyexceptions to our standard liability position and insurance protection, both ofwhich require Group Finance Director approval.
People
The business is reliant on the ability to recruit, train and develop people tomeet the Group's long-term growth strategy. The Group is focused on ensuring ithas competitive pay structures that are linked to performance, a successionplanning process, a process to develop talent to meet expansion needs andallocating resources to the best opportunities available.
Foreign exchange
The Group has significant operations outside the United Kingdom and thereforeis exposed to movements in exchange rates. Currently, the Group does notactively manage its exposure to foreign exchange risk by the use of financialinstruments. The impact of foreign exchange will become more important for theGroup as the scale of its international operations grow. In the last financialyear, 42% of total net fees was generated by the International businesses, ofwhich 36% was in Euros or Australian dollars, and this is expected to increasein the future. The Group will continue to monitor its policies in this area.Technology systems
The Group is increasingly reliant on a number of technology systems in providing its services to clients. These systems are housed in various datacentres and the Group has capacity to cope with a datacentre loss as a result of a significant event through the establishment of disaster recovery sites that are based in separate locations to the ongoing operations.
The Group is also reliant upon a number of important suppliers that provide critical information technology infrastructure. It continually monitors the performance and robustness of these suppliers to ensure business critical processes are safeguarded as far as practicably possible.
The Group is in the process of upgrading some of its key operational andfinancial systems. Such changes have an element of inherent risk. The Group hastaken steps to mitigate these risks by establishing proper governancearrangements. These ensure that the Group has high-quality project managementand IT resources working alongside our operational managers, and utilisespecialist external resources and robust project management processes. TheGroup will continue to carefully monitor risk throughout the life of eachproject.
Regulatory environment and legislative changes
The specialist recruitment industry is governed by an increasing level ofcompliance, which varies from country to country and market to market. TheGroup takes its responsibilities seriously, is committed to meeting all of itsregulatory responsibilities and continues to strengthen its internal controlsand processes with respect to legal obligations.As employment laws are changed and harmonised in certain territories, theybring with them new risks and opportunities. The temporary market is moreheavily regulated and changes in legislation, for example the planned removalof the staff hire concession in the UK and changes to temporary worker rights,can have an impact on Group profitability.
The Group ensures that its policies, processes and systems reflect best practice where possible and meet the legal requirements of the markets in which it operates.

The condensed consolidated interim financial statements are the results for thesix months ended 31 December 2008. The condensed consolidated interim financialstatements ("interim financial statements") have been prepared underInternational Financial Reporting Standards ("IFRS") as adopted by the EuropeanUnion, in accordance with International Accounting Standard 34 'InterimFinancial Reporting' and the Disclosure and Transparency Rules of the FinancialServices Authority. It is unaudited but has been reviewed by the auditors andtheir report is attached.The interim financial statements do not constitute statutory accounts asdefined in Section 435 of the Companies Act 2006 as they do not include all ofthe information required for full statutory accounts. The interim financialstatements should be read in conjunction with the statutory accounts for theyear ended 30 June 2008, which were prepared in accordance with IFRS as adoptedby the European Union and have been filed with the Registrar of Companies. Theauditors' report on those accounts was unqualified and did not contain astatement under Section 498 (2) or (3) of the Companies Act 2006.
Accounting policies
The interim financial statements have been prepared on the basis of theaccounting policies and methods of computation applicable for the year ending30 June 2009. These accounting policies are consistent with those applied inthe preparation of the accounts for the year ended 30 June 2008.
2. Segmental information
Continuing operations comprise one class of business, being specialist recruitment activities. The Group operates in three identified geographic segments. These results by geography are shown below.

Property provisions are for rents and other related amounts payable on certainleased properties for periods in which they are not anticipated to be in use bythe Group. The leases expire in periods up to 2016. Other provisions compriseliabilities arising as a result of business disposals and the Grouptransformation, mainly relating to possible warranty and environmental claimsfor businesses disposed as part of the Group transformation during the periodfrom March 2003 to November 2004.10. The Group has a £460 million unsecured revolving credit facility available,which expires in February 2011. The covenants in the facility require theGroup's interest cover to be at least 4:1 and its leverage ratio (net debt toEBITDA) to be no greater than 3:1 and the Group has significant headroom withinthese covenants. The interest rate on the facility is based upon a ratchetmechanism with a margin payable over LIBOR in the range 0.375% to 0.525%.
As at 31 December 2008, £351.8 million of the committed facility was un-drawn.
11. Contingent liabilitiesIn June 2006, Hays was visited by the UK Office of Fair Trading ('OFT') as partof an investigation into possible breaches of competition law by Hays and otherrecruitment companies in the construction recruitment sector. The investigationrelates to a small part of Hays' Construction & Property business in the UnitedKingdom. In October 2008, the OFT issued a statement of objections setting outits preliminary conclusions, which Hays has responded to. Hays is co-operatingfully with the OFT, under the OFT's leniency programme. The Board continues tobelieve that any financial impact of the matters under investigation will nothave a material impact on the Group.

13. Like-for-like results
Like-for-like results represent organic growth/decline of continuing activities at constant currency.
