Grupo Clarín served notice of claim by ANSES

On 6 August 2013, Grupo Clarín S.A. (the "Company") informed the Argentine Securities Commission and the Buenos Aires Stock Exchange that it had been served notice of the claim filed by the National Social Security Administration ("ANSES") in re: "National Social Security Administration v. Grupo Clarín S.A. re/ Ordinary Procedure" (File No. 73068), pending before the National First Instance Court on Commercial Matters No. 17, Secretariat No. 34.

According to the claim, of which the Company received a copy from the Court, ANSES requests the nullification of: (i) the General Annual Ordinary Shareholders' Meeting held on 28 April 2011 and all decisions adopted at that Shareholders' Meeting and, if that is not granted, the nullification of the decisions adopted on the following points of the agenda of said Meeting: Point 2 (consideration of the documents set forth on Section 234, subsection 1 of Law No. 19,550 corresponding to Fiscal Year No. 23, ended on 31 December 2010), Point 4 (consideration of the compensation of the members of the Board of Directors) and Point 7 (Allocation of Earnings - Distribution of Dividends); (ii) the Special Meetings of Class "A" and Class "B" Shareholders, held on the same date, and the decisions adopted therein in connection with Point 8 of the Shareholders' Meeting (Appointment of Members and Alternate Members of the Board of Directors) and (iii) the Special Meetings of Class "A" and Class "B" Shareholders, held on the same date, and the decisions adopted therein regarding the appointment of the Supervisory Committee, for purposes of Point 9 of the Agenda of the Shareholders' Meeting (Appointment of Members and Alternate Members of the Supervisory Committee).

Legal counsel to the Company understand that there are grounds to hold that the claim should be dismissed. Such grounds will be expressed in the Company's response to the claim.

The Company will keep the Argentine Securities Commission informed of any relevant event in connection with the above claim.
