Grupo Clarín Board files criminal claim

On 29 April 2013, Grupo Clarín S.A. (the "Company") informed the Argentine Securities Commission and the Buenos Aires Stock Exchange that on 26 April 2013 the members of the Company's Board of Directors, Messrs. Jorge Carlos Rendo, Alejandro Alberto Urricelqui and Pablo César Casey filed a claim before the criminal justice against Messrs. Axel Kicillof, Mario Guillermo Moreno, Daniel Reposo, Alejandro Vanoli, Hernán Pablo Fardi and Héctor Helman as a consequence of the events that occurred during the Annual Ordinary Shareholders' Meeting of the Company held on 25 April 2013. At that meeting, the above individuals made statements and intellectual constructions that, although allegedly under the framework of the new Capital Markets Law, only sought to discredit the Board of Directors and caricaturise its management, creating the pretexts that would lead to a resolution decreeing the intervention of the Company pursuant to the new powers that Capital Markets Law No. 26,831 vests on the Argentine Securities Commission, with no judicial control.

Pursuant to a Board Resolution dated 26 April 2013, the Company decided to bring a judicial claim based on the same facts.

The Company expressly stated that its actions could not be construed in any way as consenting to the legitimacy and/or legitimation of the powers vested on the Securities Commission by Law No. 26,831 and/or of any regulations issued pursuant thereto in the future, and reserved its right to bring, in due course, judicial actions to declare their manifest unconstitutionality.

Having disclosed the existence of the criminal claim to the Securities Commission and to the investor public, the Company requested the Securities Commission to abstain from taking any actions or issuing any resolutions that may be aimed at fulfilling the plan that was judicially denounced.
