Notice is hereby given to the holders of the Bonds that members of the Stonewater Group have effected a corporate reorganisation.

As of 31 March 2023, Stonewater (2) Limited (a Borrower under the Bond structure) has transferred its engagements to Stonewater Limited (a Borrower under the Bond structure and the parent of the Stonewater Group), pursuant to section 110 of the Co-operative and Community Benefit Societies Act 2014. This transfer of engagements falls within the definition of a Permitted Re-organisation under the Bonds.

Stonewater Limited will remain the parent of the Stonewater Group.
