Grant of share awards

The notifications set out below are provided in accordance with the requirements of the EU Market Abuse Regulation. On 11 September 2017, awards over ordinary shares of 0.01p each in Sanne Group plc (the "Company") (ISIN: JE00BVRZ8S85) were made to a certain persons discharging managerial responsibilities ("PDMRs") under the Sanne Group plc Performance Share Plan, as follows:

No consideration was paid for the grant of the awards which are structured as conditional share awards. 

The vesting of an award is subject to the satisfaction of performance conditions set by the Remuneration Committee of the Company. The awards will normally vest on the later of the third anniversary of grant and the determination of the performance conditions. 

Furthermore an award over ordinary shares of 0.01p each in the Company was granted by the Company to the below named person discharging managerial responsibilities ("PDMR") as follows:

No consideration was paid for the grant of the award which was structured as a conditional share award granted under and subject to the terms of share award agreement. 

The award shall ordinarily vest on an equal basis over a 3 year period subject to Mr Law's continued service.

Only existing shares not being treasury shares (or exceptionally cash) may be used to settle the award. No newly issued shares will be used in relation to the award.

The Company was informed of the above transactions on 11 September 2017.
