Grant of Share Awards

The Board of Numis announces that, Oliver Hemsley, Marcus Chorley, Simon Denyer, David Poutney and Lorna Tilbian, the Executive Directors of Numis, were granted an award of a total of 108,827 ordinary shares of 5p each ("RSU Award Shares"), in the Company on 19 January 2016 (the "Grant Date") pursuant to the Company's Restricted Stock Unit Plan (2008), (RSU Plan). RSU Award Shares awarded under the RSU Plan vest in three equal tranches on the 1st , 2nd and 3rd anniversary of the Grant Date and will vest subject to continued service with the Company.

The share awards granted to each Director are noted below: -

No consideration was paid to the Company for the grant of the awards and no consideration is due on the vesting of the awards.

The Numis shares referred to above are Numis' ordinary shares of 5p each ("Ordinary Shares") and the total number of shares in issue is 112,900,104 (excluding shares held in Treasury) with each Ordinary Share carrying the right to one vote.

The total number of shares held in Treasury is 5,538,432 (4.91%).  The total number of voting rights in Numis is 112,900,104.
