Stagecoach Group PLC11 February 2005 Company Stagecoach Group plcTIDM SGCHeadline Grant of SAYE optionsReleased 11 February 2005Number (Reference) Grant of SAYE options Stagecoach Group plc ("the Company") has invited its eligible UK employees toapply for share options over Ordinary Shares in the Company under the terms ofthe Stagecoach Sharesave Scheme ("the SAYE Scheme"). Based on the applicationsreceived, share options have been granted today. The exercise price of the share options is £1.03275 per Ordinary Share, being a10% discount to the closing mid share price on 14 January 2005, being the lastdealing day prior to the invitation to employees. The options are exercisablebetween 1 April 2008 and 30 September 2008, subject to the conditions of therules of the SAYE Scheme. As part of the above arrangements, the following share options have been awardedto directors of the Company: Director Number of shares Exercise Exercisable under option price (£) fromMartin Griffiths 9,174 £1.03275 1 April 2008 Following this award of options, Martin Griffiths holds share options over1,967,566 Ordinary shares of 12/19th pence each. Martin Griffiths holds 6,330Ordinary Shares of 12/19th pence each in the Company, representing less than0.01% of the total Ordinary Shares in issue. In addition, as an ExecutiveDirector of the Company, Martin Griffiths is a potential beneficiary of theStagecoach Group Employee Benefit Trust 2003 and the Stagecoach Group QualifyingEmployee Share Trust, which together hold 9,432,765 Shares of 12/19th penceeach, representing 0.89% of the total Ordinary Shares in issue.
