Grant of Options

ClearStar (AIM: CLST), the technology and service provider to the background check industry, announces that, on 4 January 2016 (the "Grant Date"), it granted a total of 405,000 options over new ordinary shares of US$0.0001 each in the Company ("Ordinary Shares") under the ClearStar Share Option Incentive scheme to a Director and certain employees of the Company. Each option has an exercise price of 50.6 US cents per new Ordinary Share, representing the closing price of the Company's Ordinary Shares on AIM on 4 January 2016 of 34.5 pence, translated into US$ at the prevailing exchange rate ¹. The options will vest over a three-year period: one-third at the first anniversary of the Grant Date, one-third at the second anniversary of the Grant Date and one-third at the third anniversary of the Grant Date. The options are exercisable from vesting until the fifth anniversary of the Grant Date. The options were granted to the Director as follows:

Following the grant, the Company has a total of 1,941,165 options outstanding over Ordinary Shares, representing options over 5.3% of its total existing issued and outstanding ordinary share capital. There are no shares held in treasury.
