Grant of options
London, 15 March 2019: NMC Health plc ("NMC", the "Company" or the "Group"), the leading private healthcare operator in the Gulf Cooperation Council (GCC) with international services across 19 countries, announces that on 15 March 2019 it granted awards over a total of 237,538 Ordinary shares under its Long-Term Incentive Plan.
These awards, by way if nil-cost options, were made to Directors and PDMRs of the Company as follows:

The vesting of all the awards granted under the LTIP referred to above are subject to the achievement of performance targets relating to the Company's EBITDA growth and total shareholder return (relative to a comparator group) over a three-year performance period.
In addition, the vesting of all the awards granted will be subject to performance against an additional underpin capturing the conversion of EBITDA to net income to provide shareholders with an aggregate view on earnings, cash flow, and capital efficiency. Failure to meet the underpin will reduce the proportion of these LTIP awards vesting by 50%. The awards are also granted subject to an additional holding period of two years applying after any vesting of the awards during which award holders cannot exercise vested awards.
This notification is made in accordance with the Market Abuse Regulation.
