Grant of Options
On 18 October 2012, Escher Group Holdings plc ("Escher" or the "Company") granted options over 317,071 Ordinary Shares of €0.005 each (the "Options") to employees and certain Directors of Escher under the terms of the Share Option Plan approved by shareholders on 14 June 2012. The Options are exercisable up to 18 October 2019 and will vest as follows: 102,667 on 1 January 2013; 9,071 on 12 October 2013; 102,667 on 1 January 2014 and a further 102,666 on 1 January 2015.
As part of the grant, Liam Church and Fionnuala Higgins each received options over 25,000 Ordinary Shares. Following the grant, Liam Church and Fionnuala Higgins each have options over 25,000 Ordinary Shares pursuant to the Share Option Plan and each directly holds 2,060,160 Ordinary Shares. Liam Church and Fionnuala Higgins both therefore have a beneficial interest in 4,120,320 Ordinary Shares representing 24.68 per cent of the ordinary issued share capital of the Company and in options over 50,000 Ordinary Shares.

Its core software, RiposteEssential, enables post offices to expand upon their traditional offering, providing additional new services, reducing costs and increasing efficiency. Riposte is a messaging middleware that enables applications operating on different computers to communicate with each other.
