Grant of options to Directors
PROACTIS Holdings PLC, the specialist Spend Control software provider, announces that on 14 January 2014, a total of 1,907,880 options over ordinary shares of 10 pence each in the capital of the Company ("Ordinary Shares")("Options") were granted to Directors. 954,897 Options were granted pursuant to the Company's Enterprise Management Incentive Scheme ("the EMI Scheme") and 952,983 Options were granted pursuant to the Company's Executive Share Option Scheme ("the ESO Scheme").
The Options were granted for nil consideration with an exercise price of 36.5p per Ordinary Share. 572,364 Options will become exercisable if the price per Ordinary Share reaches 60p, 572,364 Options will become exercisable if the price per Ordinary Share reaches 75p and the remaining 763,152 Options will become exercisable if the price per Ordinary Share reaches 90p.
Following this grant of Options, the Directors hold the following Options:
