Grant of Options
The Company announces that it has granted Options over a total of 8,140,227 ordinary shares to Directors and key employees of the Company. Each Option will entitle holders to subscribe for 1 new ordinary share in the Company at the exercise prices set out below. The Remuneration Committee of the Company first considered the grant of Options in November 2009, however, due to the Company being in successive close periods, it is only now that the Board is able to give effect to the Remuneration Committee's recommendations. The first tranche of the options granted to Mr Mulder and Mr Bisseling vest immediately; this decision was taken by the Remuneration Committee to reflect the fact that Mr Mulder and Mr Bisseling have spent the past 12 months successfully working to put the Company on a firm financial and commercial footing from a position of substantial weakness that was inherited by them at the point of the management changes which occurred in May 2009. The balance of the awards to Mr Mulder and Mr Bisseling are designed to be challenging targets to incentivise the rapid development of business and to align the interest of the executive team with shareholders.
Grant of Options to Maarten Bisseling
Mr Bisseling has received a total award of 3,617,878 Options. Of these 1,808,938 vest immediately at an exercise price of 6p. On the 1st anniversary following the date of grant a further 904,470 Options will vest at an exercise price of 20p and on the 2nd anniversary following date of grant of 904,470 will vest at an exercise price of 30p.
Grant of Options to Fred Mulder
Mr Mulder has received a total award of 2,713,409 Options. Of these 1,356,705 vest immediately at an exercise price of 6p. On the 1st anniversary following the date of grant a further 678,352 Options will vest at an exercise price of 20p and on the 2nd anniversary following date of grant of 678,352 will vest at an exercise price of 30p.
Grant of Options to Adrie Reinders
Mr Reinders has been granted a total of 904,470 Options of which 301,419 will vest on 12th November 2010 at an exercise price of 9p; a further 301,490 Options will vest on 12th November 2011 at an exercise price of 20p; and a further 301,490 Options will vest on 12th November 2012 at an exercise price of 30p.
Grant of Options to Tom Trainer
Mr Trainer has been granted a total of 904,470 Options of which 301,419 will vest on 12th November 2010 at an exercise price of 9p; a further 301,490 Options will vest on 12th November 2011 at an exercise price of 20p; and a further 301,490 Options will vest on 12th November 2012 at an exercise price of 30p.
Apart from the above grants, the Directors' interests in the Company share capital remain unchanged and as previously disclosed.
