Grant of options

CareTech announces that on 3 August 2010 ('Date of Grant'), it granted David Pugh (Finance Director) options, in aggregate, over 92,308 ordinary shares of 0.5p in the company ('Options') under the CareTech Holdings 2005 Unapproved Executive Share Option Scheme.

Of these Options, 46,154 are exercisable at a price of 305 pence per share following the third anniversary of the Date of Grant and, at the latest, the day before the tenth anniversary of the Date of Grant.

A further 46,154 of the Options are exercisable at a price of 0.5 pence per share, subject to certain performance conditions and David agreeing to meet the employers NIC liability. These Options will be exercisable, at the earliest, after a period of 30 dealing days following the third anniversary of the Date of Grant and, at the latest, by the end of a 12 month period following the third anniversary of the Date of Grant.
